Terms of Service

These Terms of Service (the "Terms") are a binding agreement between TriNect LLC ("TriNect", "we", "us"), a limited liability company organized in the United States, and the business or individual that creates a PunchMan account (the "Customer", "you"). They govern your access to and use of the PunchMan website, applications and services (together, the "Service"). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you are accepting on behalf of a company, you represent that you are authorized to bind it.

If you do not agree to these Terms, do not use the Service. Continued use after changes take effect means you accept the updated Terms.

1. The Service

PunchMan is a time‑and‑attendance product for businesses that run staff shifts. It lets your employees clock in and out at a kiosk (by employee number and PIN, and optionally by fingerprint or face recognition), records their hours, and produces timesheets and reports for the properties you manage.

2. Accounts and eligibility

  • You must be at least 18 and provide accurate account information.
  • You are responsible for your account credentials and for all activity under your account, including the actions of the managers and owners you invite. Keep passwords secret and enable two‑step sign‑in.
  • Notify us promptly at support@trinect.org of any unauthorized use.

3. Subscriptions, fees and cancellation

  • Pricing. The Service is billed at US$38.99 per active location, per month, for any number of employees, unless a different rate or a promotional code is applied to your account. Adding or re‑activating a location is charged immediately, prorated for the rest of the current billing month, and takes effect only once that charge succeeds. Deactivating a location lowers your charge from the next billing month; the current month is not refunded.
  • Promotional codes. Discount or free‑access codes are applied at our discretion and remain in effect only while the applicable promotion is active. We may change, pause or end a promotion at any time, after which standard fees apply going forward. Codes have no cash value.
  • Billing and renewal. Subscriptions renew automatically each month until cancelled. Card payments, when enabled, are processed by our payment provider (Stripe); we do not store full card numbers. You authorize recurring charges for your then‑current fees plus applicable taxes.
  • Cancellation. You may cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees already paid are non‑refundable and partial periods are not prorated.
  • Non‑payment. If a monthly charge fails, we notify the account owner and you have 2 days (48 hours) to update your payment method. After that, the management features of the Service (including reports and exports) are suspended until the outstanding amount is paid. Time clocks continue recording employee hours during a suspension.

4. Your responsibilities

  • Lawful use. You will use the Service only for lawful purposes and in compliance with all applicable wage‑and‑hour, labor, privacy and recordkeeping laws.
  • Your data and your people. You are the employer and the controller of the employee information you enter (names, employee numbers, hours, and any biometric data). You are responsible for the accuracy of time records and for any pay decisions you make using them. PunchMan is a recordkeeping tool and is not payroll, legal or tax advice.
  • Biometric consent (important). Fingerprint and face features are optional and off by default. If you enable them, you are solely responsible for providing any legally required notices and obtaining written employee consent before collecting biometric data, and for maintaining a compliant retention and deletion policy. Several U.S. states regulate biometric data (for example the Illinois Biometric Information Privacy Act and the Texas CUBI). You will indemnify us for claims arising from your collection or use of biometric data.
  • Authorized users. You are responsible for the managers and owners you invite and for their compliance with these Terms.

5. Acceptable use

You will not: (a) resell or provide the Service to third parties except your own properties and staff; (b) attempt to breach security, access other customers' data, or disrupt the Service; (c) upload unlawful, infringing or malicious content; (d) reverse engineer the Service except as permitted by law; or (e) use the Service to violate anyone's rights. We may suspend accounts that we reasonably believe violate this section.

6. Data ownership and privacy

As between the parties, you own the data you and your staff enter ("Customer Data"). You grant us a limited license to host and process Customer Data solely to provide and support the Service. We handle personal data as described in our Privacy Policy, which is part of these Terms. You may export your data from the Service, and we will delete or return Customer Data on request after termination, subject to legal retention requirements.

7. Availability and support

We work to keep the Service available and secure, but it is provided without an uptime guarantee. We may perform maintenance and may modify or discontinue features. Support is available by email at support@trinect.org.

8. Intellectual property

The Service, including its software, design and trademarks (including "PunchMan" and "TriNect"), is owned by TriNect and its licensors and is protected by law. These Terms grant you a limited, non‑exclusive, non‑transferable right to use the Service during your subscription. We may use your name and logo to identify you as a customer unless you ask us not to.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR‑FREE OR UNINTERRUPTED, OR THAT BIOMETRIC MATCHING WILL BE ACCURATE IN EVERY CASE. YOU ARE RESPONSIBLE FOR REVIEWING TIME RECORDS BEFORE RELYING ON THEM FOR PAY.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRINECT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You will defend, indemnify and hold harmless TriNect and its officers, employees and agents from claims, damages and costs (including reasonable legal fees) arising from your Customer Data, your use of the Service, your collection or use of biometric data, or your violation of these Terms or of law.

12. Suspension and termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access for non‑payment, violation of these Terms, or to protect the Service or others. On termination, your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability and indemnification) will survive.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example by email or in the Service). Changes take effect when posted or on the date stated, and your continued use means you accept them.

14. Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict‑of‑laws rules. The state and federal courts located in New Jersey will have exclusive jurisdiction, and you consent to venue there, except that either party may seek injunctive relief in any court of competent jurisdiction. If any provision is found unenforceable, the rest remains in effect.
